Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Reply platform, websites, APIs, and related services (the "Service") operated by Vrizen ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Reply lets you create AI chatbots trained on content you upload or crawl, embed widgets, connect messaging channels, and manage team access. Features may vary by plan. We may update the Service; material changes to these Terms will be posted on this page with an updated effective date.

2. Accounts and eligibility

  • You must provide accurate registration information and keep it current.
  • You are responsible for activity under your account and for safeguarding credentials and API keys.
  • You must be able to form a binding contract under applicable law.

3. Customer content and licenses

You retain ownership of documents, FAQs, branding, conversation content, and other materials you submit ("Customer Content"). You grant us a limited license to host, process, embed, and display Customer Content solely to provide and improve the Service for you (including retrieval-augmented generation, indexing, and support).

You represent that you have the rights to submit Customer Content and that it does not violate law or third-party rights.

4. Acceptable use

You agree not to:

  • Use the Service for unlawful, harmful, or deceptive purposes
  • Attempt to access another customer's data or circumvent security or rate limits
  • Upload malware or abuse the crawler against systems you do not control
  • Resell the Service except as expressly permitted in writing

5. Plans, billing, and trials

Paid plans are billed according to the pricing shown at checkout (including applicable taxes such as GST where required). Trials convert or expire as described in-product. Failed payments may lead to suspension. Fees are generally non-refundable except where required by law or our Refund and Cancellation Policy (including the 7-day money-back guarantee on paid plans).

6. AI outputs

Answers generated by the Service may be inaccurate or incomplete. You are responsible for reviewing outputs before relying on them for business or legal decisions. The Service is not a substitute for professional advice.

7. Suspension and termination

You may delete your account as described in the product (subject to transferring ownership of shared chatbots). We may suspend or terminate access for breach of these Terms, non-payment, or risk to the Service or other customers. Upon deletion, we will delete or anonymize Customer Content as described in our Privacy Policy, subject to legal retention needs.

8. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

9. Governing law

These Terms are governed by the laws of India, without regard to conflict of law rules. Courts in India have exclusive jurisdiction, unless mandatory consumer protections require otherwise.
